You must agree to and accept the following terms and conditions in order to use the 8minuteDating.com Logo (hereafter, simply the "Logo"): License. Match Events, Inc. (the parent company of 8minuteDating.com, herein referred to as "MEI") hereby grants you a limited, revocable, nonexclusive, nontransferable license to use, display and the Logo expressly subject to the terms set forth herein. Nothing herein by implication or otherwise, shall grant you any rights other than as explicitly set forth herein. No Affiliation. Except as specifically provided herein, you shall not express or imply any endorsement by MEI, its respective parents, sisters, affiliates, directors, officers, employees and agents (collectively, "MEI Affiliates") of any product or service or in any other manner or for any purpose whatsoever. (In following the above guidelines, viewers of the materials you create should not be confused about the relationship between you and MEI.) No Rights Conferred. You acknowledge that MEI, their successors, privies and assigns, exclusively own all present or future rights of every kind and nature in and to the 8minuteDating.com name and Logo, including, but not limited to, all copyrights, trademarks, trade names, service names, patents, character rights, trade secret rights, contract and licensing rights. (The 8minuteDating.com name, Logo and all related rights belong exclusively to MEI.) No Disparagement. You agree that you will not use or will not allow or assist any third party to use or display the Logo in any manner that would result in any MEI Affiliate's name or product to become involved in matters that could detract from, or impugn its public acceptance and popularity or impair its legal status. (You may use the Logo for legitimate business purposes only. You may not use the 8minuteDating.com name or Logo in a way that would defame or disparage MEI.) Use Only on Authorized Materials. You must have copyright ownership of all materials you create containing the Logo. No materials may be included without the express written consent of the copyright owner. In addition, you agree not to sell merchandise bearing the Logo. (You may use the Logo only on materials for which you have copyright ownership and/or authorization. If you are unsure, contact MEI. ) No Alterations. (Do not modify the Logo in any way, except to increase or decrease the scale. This includes changes to color, proportion, lettering and contents. Any deviation from design for a specialty usage is subject to the approval of MEI, Inc. in its sole discretion.) Termination. MEI shall have the right to terminate this Agreement and license herein at any time with or without cause and require you to immediately discontinue your use of the Logo if, in MEI's sole discretion, you fail to comply with any term or provision of this Agreement. (We have the right, at any time, to cancel your authorization.) Other. These terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or relating to these terms shall be filed only in the state or federal courts located in Suffolk County and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action. If any provision of these terms shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions. This is the entire agreement between us relating to the subject matter herein and shall not be modified except in writing, signed by both parties. |
